Purchase Order Terms & Conditions

Terms that apply to purchase orders for IZZA Cabinetry products. Effective October 6, 2026.

These Purchase Order Terms and Conditions ("Terms") apply to all purchase orders for products manufactured or supplied by IZZA Cabinetry ("we," "us," or "our") that are placed by authorized dealers, trade partners, and other customers ("buyer," "you") and accepted by us. They apply unless a separate written agreement signed by both parties expressly governs the same subject matter.

Orders and Acceptance

All orders must be submitted in writing on our standard order form. An order becomes binding only when we accept it in writing (including by order acknowledgment or invoice). We may decline any order, in whole or in part, and may limit quantities. Any terms in a buyer’s purchase order or other business form that conflict with these Terms are rejected and will not apply.

Pricing and Payment

  • Prices are those in our price list or written quotation in effect at the time of order acceptance, and are exclusive of taxes, freight, and any other charges unless expressly stated otherwise.
  • Payment terms are as stated on our invoice or in the buyer’s approved credit agreement. We may require payment in advance, or suspend or cancel open orders, if amounts are past due or if we reasonably determine that the buyer’s credit is impaired.
  • Prices are subject to change on notice. Market-driven surcharges may be added where raw material, freight, or tariff costs change materially.

Order Changes and Cancellation

Requests to change or cancel an order must be submitted in writing and are effective only when we accept them. Because cabinetry is built to order, orders cannot be changed or cancelled once the products have been released to production. Change and cancellation fees may apply, including for special-order, custom, and non-standard finishes.

Lead Times; Shipping and Delivery

  • Lead times are estimates only and are not guaranteed. Stated ship dates are estimates and may change based on production capacity, material availability, and other factors beyond our control.
  • Shipping and delivery arrangements, title, and risk of loss are as stated on our invoice or acknowledgment. Unless stated otherwise, title and risk of loss pass to the buyer at the time and place of shipment or pickup.
  • If the buyer does not accept delivery when products are ready, we may store the products at the buyer’s expense and charge reasonable storage and handling fees.
  • Claims for loss or damage in transit must be pursued by the buyer with the carrier; we will provide reasonable assistance with documentation.

Inspection and Claims

  • The buyer must inspect all products promptly on receipt.
  • Visible shortages or damage must be reported to us in writing within five (5) business days of delivery. Concealed damage must be reported in writing within five (5) business days of discovery.
  • Products that have been installed, altered, or modified are not eligible for a damage or shortage claim.
  • No products may be returned without our prior written authorization. Authorized returns may be subject to inspection, restocking fees, and return freight charges, and made-to-order or custom products may not be returnable.

Limited Warranty

Our products are covered by our then-current limited warranty, a copy of which is available from your sales representative. The limited warranty is the buyer’s exclusive remedy for product defects. EXCEPT FOR THAT LIMITED WARRANTY, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE MAKE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Compliance; Proposition 65

The buyer is responsible for complying with all laws and regulations applicable to the purchase, resale, installation, and labeling of the products. Products may require a California Proposition 65 warning. Our Proposition 65 notice is available at izzacabinetry.com/Calif-warning.pdf and should be posted or passed through to California consumers as required by law.

Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, fire, flood, severe weather, labor disputes, utility or transportation failures, material shortages, equipment failure, epidemics or pandemics, war, terrorism, or government action.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, OR INSTALLATION OR LABOR COSTS, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO ANY ORDER WILL NOT EXCEED THE AMOUNT PAID TO US FOR THE PRODUCTS GIVING RISE TO THE CLAIM.

Governing Law and Venue

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in New Jersey.

Miscellaneous

The buyer may not assign an order without our written consent. Our failure to enforce any provision is not a waiver. If any provision is found unenforceable, the remaining provisions remain in effect. These Terms, together with our order acknowledgment and invoice, are the entire agreement between the parties regarding the products and supersede any prior discussions or documents on the same subject.
